Affiliate Program Terms of Service

Effective Date: September 1, 2025

These Affiliate Terms of Service (“Terms”) govern participation in the EasyApps affiliate program (the “Program”) for our Shopify applications, including Spin Wheel Email Popup SMS Discount. By applying to or participating in the Program, you agree to these Terms.

1) Eligibility & Enrollment

Enrollment requires an application and approval by EasyApps Ecom Inc. (“EasyApps,” “we,” “us,” or “our”). We may approve, reject, or terminate any Affiliate in our sole discretion.

2) Affiliate Conduct

• Promote honestly, lawfully, and in good faith with accurate representations of our apps.
• No spam, unsolicited messages, cookie stuffing, ad fraud, forced clicks, or cloaking.
• No bots, scripts, artificial traffic, or fake installs/signups/customers.
• No misleading claims, deceptive offers, or misrepresentation of features or pricing.
• Comply with applicable laws (including disclosure/endorsement rules), platform policies, and Shopify’s terms.

3) Commissions & Attribution

Commissions are earned only on legitimate, fully paid, non-refunded, and non-disputed transactions properly attributed to you under the Program rules.

• No commissions on fake/fraudulent traffic, self-referrals, internal testing, or prohibited tactics.
• No commissions on transactions that are refunded, canceled, charged back, or otherwise disputed.
• We may withhold, deny, or claw back commissions for invalid activity or Terms violations.
• Attribution & tracking: Determined by Mantle affiliate program tracking (including cookie/window and click model as configured by Mantle).
• Commission rates/bonuses: as communicated in writing or in your affiliate dashboard.

4) Payment

• Payout schedule: Monthly, paid 15 days after the end of the period.
• Hold period: 30 days after the underlying transaction to account for refunds/chargebacks.
• Minimum payout threshold: $50. Balances below threshold roll forward.
• Method: PayPal (you must provide accurate payment details).
• Payout currency: USD (conversion/transfer fees are your responsibility).
• Taxes are your responsibility; we may request info to satisfy compliance requirements.

5) Audit & Fraud Review

We may review traffic, leads, and transactions for validity and compliance. You agree to cooperate and provide reasonable information upon request. We may suspend payouts during an investigation.

6) Term, Suspension & Termination

• Either party may terminate at any time for any reason with written notice.
• We may suspend or terminate immediately for suspected fraud, policy violations, or harm to our brand.
• Upon termination, ineligible or disputed commissions are forfeited. Valid, eligible commissions will be paid on the next regular payout cycle, subject to these Terms.

7) Intellectual Property

You may use our name, logos, and approved assets solely to promote our apps under these Terms. Do not alter or misrepresent our brand. All rights not granted are reserved by EasyApps.

8) Disclaimers & Limitation of Liability

THE PROGRAM AND MATERIALS ARE PROVIDED “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED COMMISSIONS PAID TO YOU IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9) Modifications

We may update these Terms at any time by posting a revised version on this page. Continued participation after changes constitutes acceptance.

10) Governing Law & Disputes

These Terms are governed by the laws of Ontario, Canada, without regard to conflicts principles. Courts located in Ontario, Canada will have exclusive jurisdiction. Commission payout corrections or disputes must be raised within 30 days of the relevant payout.
